Constantia’s Acquisition of Aluflexpack Approved

The European Commission has approved Constantia Flexibles GmbH’s acquisition of Aluflexpack AG, following a competition review. Constantia produces flexible packaging, while Aluflexpack specializes in aluminum-based packaging for food and pharmaceuticals.

Competition Concerns & Remedies

The commission found the merger would reduce competition in sterilizable aluminum packaging for wet pet food and certain human foods in the EEA, leading to higher prices and fewer options. To address this, Constantia agreed to divest Aluflexpack’s sterilizable packaging business, including the Omial Novi plant in Croatia.

Following market feedback, the commission determined this remedy preserves competition. Constantia proposed selling the business to MTX Group, a Czech company specializing in flexible packaging, pending separate buyer approval. With these measures, the acquisition can proceed.
